GreenTigreTerms of Use

1. Overview of the Services

The GreenTigre Marketplace supports the purchase and direct Retirement of eligible insured, verified biochar carbon removal credits. Biochar Now (www.biocharnow.com) produces the insured, verified carbon credits offered through the Marketplace. Independent third-party auditors perform project validation and verification under the applicable Insured Carbon Registry requirements. The Insured Carbon Registry (www.insuredcarbonregistry.com) records applicable verification status and performs the relevant registry functions, including issuance, tracking, status confirmation, and retirement. AgriCap (www.agricapgroup.com) supports the Insured Carbon program and provides applicable insurance-related information and documentation for eligible credits, subject to the applicable program and policy terms.

The Marketplace does not itself produce Credits, perform validation or verification, carry out Registry functions, or provide insurance. Credit production is performed by Biochar Now, project validation and verification are performed by independent third-party auditors, Registry functions are performed by the Insured Carbon Registry, and insurance-related matters are addressed through the Insured Carbon program supported by AgriCap, each subject to its applicable documentation, standards, methodologies, terms, exclusions, and limitations.

Credits are offered only for voluntary environmental, sustainability, and retirement-related purposes. Purchases are not charitable donations or tax-deductible unless your own advisors determine otherwise, and they are not investments, securities, derivatives, commodity interests, or profit-participation rights.

2. Definitions

• "Account" means your registered account for accessing the Services.
• "Wire Transfer" means an electronic transfer of funds initiated by a buyer through its financial institution and sent directly to a bank account designated by Biochar Now for payment of an Order.
• "Beneficiary" means the person, company, entity, or organization identified in a Retirement record, certificate, confirmation, or related documentation as the party for whose benefit a Retirement is made.
• "Biochar Insured Carbon Credit" means an insured, verified biochar carbon removal credit or certificate offered through the Marketplace. The Credits are produced by Biochar Now, validated and verified by independent third-party auditors under the applicable Insured Carbon Registry requirements, recorded and tracked by the Insured Carbon Registry, and covered under the Insured Carbon program supported by AgriCap, subject to applicable Registry and insurance documentation. One insured, verified biochar carbon credit represents the net removal and durable storage or sequestration of one metric tonne of carbon dioxide equivalent (tCO₂e) through eligible biochar production, use, or storage, as quantified, verified, issued, and tracked under the applicable Registry standard, methodology, and project documentation and, where applicable, retired under the relevant Retirement record.
• "Credit" means an eligible insured, verified biochar carbon credit or other insured, verified biochar carbon removal credit made available through the Marketplace.
• "GreenTigre" means the GreenTigre-branded Marketplace and related Services.
• "Order" means a purchase, transaction request, or Quote acceptance submitted through the Services.
• "Producer" means Biochar Now, the producer of the insured, verified biochar carbon removal Credits offered through the Marketplace.
• "Quote" means pricing, quantity, availability, expiration, and related terms presented through the Services for a proposed Order. A Quote may be indicative or executable as described in the Services.
• "Registry" means the Insured Carbon Registry, which records applicable verification status determined through independent third-party validation and verification, and which issues, tracks, confirms, and retires eligible Credits under its applicable standards, methodologies, and Registry rules.
• "Retirement" means the permanent retirement, cancellation, or removal of a Credit from active circulation through the applicable Registry or retirement process, after which it is no longer available for resale, transfer, or additional claims.
• "Insurer" means AgriCap, which supports the Insured Carbon program and provides applicable insurance-related information and documentation for eligible Credits, subject to the applicable program and policy terms, conditions, exclusions, and limitations.
• "Retirement Documentation" means Registry records, retirement confirmations or numbers, certificates, project or Credit details, and other materials evidencing or supporting the Retirement of a Credit.
• "Vintage" means the year or period associated with the underlying carbon removal activity, as identified by the applicable Registry, methodology, project record, or Retirement Documentation.

3. Eligibility and Geographic Availability

You must be at least 18 years old to access or use the Services.

The Services are currently intended for users in the United States. Access, features, or transactions may be restricted based on geography, sanctions, compliance requirements, partner requirements, or operational considerations.

You may use the Services only in compliance with these Terms, applicable law, and instructions, policies, or documentation presented through the Marketplace.

4. Accounts, Security, and Authorized Users

Certain features or Orders may require an Account and accurate, complete, and current business, entity, tax, contact, payment, administrator, or other requested information.

You are responsible for protecting your login credentials and for activity through your Account. You must promptly report suspected credential compromise or unauthorized activity through the support channels made available by the Marketplace.

If an Account is associated with an organization, the Marketplace may rely on information, permissions, and instructions from the organization or its authorized administrators. You are responsible for ensuring that authorized users act within their authority.

Additional information, documentation, compliance screening, entity verification, transaction or payment review, or Beneficiary confirmation may be required to comply with law, prevent fraud or misuse, confirm payment instructions, satisfy partner requirements, or protect the Services.

5. Marketplace Structure and Participant Roles

Biochar Now serves as the producer of the insured, verified carbon credits offered through the Marketplace and is solely responsible for providing the underlying credit production, project, and related source information. Independent third-party auditors perform project validation and verification under the applicable Insured Carbon Registry requirements. The Insured Carbon Registry serves as the applicable registry and is responsible for recording applicable verification status and for the issuance, registration, tracking, status confirmation, transfer recording, and retirement of such carbon credits, including maintaining the applicable Registry records. AgriCap supports the Insured Carbon program and is responsible for all descriptions, terms, conditions, limitations, exclusions, eligibility requirements, and other matters relating to applicable insurance coverage. Additional third-party service providers may provide banking, payment processing, settlement, custody, hosting, technology, analytics, customer support, or other ancillary services in connection with the Marketplace or related transactions, and each such provider is responsible solely for the services it provides.

Information displayed or relayed through the Marketplace may originate from the applicable Producer, Registry, Insurer, payment facilitator, or other third-party provider. Except as expressly stated in applicable documentation, the Marketplace does not independently guarantee project performance, Credit validity, Registry or methodology determinations, insurance coverage, audit results, issuance or Retirement records, payment processing, or future availability.

Descriptions such as verified, insured, Registry-confirmed, or durable refer to applicable information, records, programs, or determinations of Biochar Now, the Insured Carbon Registry, AgriCap, or other applicable third parties. Verification, Registry treatment, insurance coverage, and partner assurances remain subject to the applicable program documents, standards, methodologies, policy terms, exclusions, limitations, and rules.

6. Credits Offered Through the Marketplace

The Marketplace is designed to support eligible insured, verified biochar carbon removal Credits produced by Biochar Now, verified and tracked by the Insured Carbon Registry, and insured by AgriCap, for purchase and direct Retirement. Unless expressly stated otherwise in Marketplace documentation, the Services do not support forward contracts, futures, fractional Credits, or Credits that have not been verified under the applicable requirements and issued by the Registry.

Offerings may vary by location, Credit type, Vintage, quantity, price, Registry status, insurance status, availability, and other factors. Offerings may be added, removed, modified, paused, or restricted at any time.

A Credit does not provide ownership or an equity interest in any project, business, technology, land, equipment, insurance policy, Registry, methodology, or underlying asset, nor any dividend, revenue share, profit, voting, management, or other investment-like right.

Unless expressly enabled through the Marketplace in writing, Credits purchased through the Services are for direct Retirement and cannot be withdrawn, resold, secondarily traded, transferred outside the Services, pledged, hypothecated, or used as collateral.

You should not make environmental or similar claims based on a Quote, pending Order, payment authorization, or unconfirmed transaction. Any claim should rely only on completed Retirement and applicable Retirement Documentation and remains subject to Section 11.

7. Quotes, Orders, Availability, and Pricing

Quotes are subject to availability, inventory and partner confirmation, pricing changes, expiration, cancellation, correction, and operational review. A Quote does not guarantee availability until the transaction is completed and accepted by all required systems and partners.

By submitting an Order or accepting a Quote, you authorize the transaction to be processed under the presented terms, these Terms, and applicable checkout, Quote, wire-transfer instructions, payment, or confirmation screens.

An Order may be rejected, cancelled, delayed, or reversed if inventory is unavailable; required wire-transfer payment is not received or does not finally settle; information is inaccurate; a Quote expires; required confirmation is not received; a Registry or Retirement process is unavailable; fraud or misuse is suspected; or the transaction creates legal, compliance, financial, operational, or reputational risk.

Prices may include Credit costs, platform, service, partner, Registry, insurance, payment-facilitation, settlement, tax, and other applicable amounts. Pricing and fees may vary by Order, buyer, agreement, or transaction structure.

8. Payment by Wire Transfer and Settlement

Payment for an Order is made by wire transfer directly to a bank account designated by Biochar Now, the carbon producer. GreenTigre may facilitate the delivery of payment instructions or payment-status information, but does not receive, hold, own, or control the purchase funds.

When initiating a wire transfer, you represent that you are authorized to use the originating bank account and are responsible for accurately following the wire-transfer instructions provided for the Order, including the designated Biochar Now beneficiary account, payment amount, reference information, and any applicable bank requirements. You authorize your financial institution and the receiving financial institution to process the wire transfer and any related entries necessary to complete or correct the transfer in accordance with applicable banking rules.

Wire transfers may be reviewed or delayed and remain subject to banking rules, cutoff times, intermediary-bank processing, settlement timing, and provider requirements. GreenTigre, solely in its capacity as Marketplace provider, is not responsible for delays, errors, rejections, recalls, returns, or failures caused by your bank, an intermediary bank, Biochar Now's receiving bank, a wire-transfer network, or another third-party provider.

GreenTigre, solely in its capacity as Marketplace provider, is not a bank and does not maintain a deposit account for buyer funds. Unless expressly stated otherwise in writing, any Account status, Credit status, payment status, or settlement status shown through the Services is a platform record and not a bank deposit account, securities account, commodity account, trust account, or government-insured deposit.

9. Retirement, Registry Records, and Documentation

After required transaction steps are completed, Retirement is coordinated through the Insured Carbon Registry in accordance with applicable Registry rules and records. Timing may depend on payment status, Registry availability, Biochar Now production and Credit records, insurance documentation from AgriCap, operational review, and other applicable third-party processes.

Retirement Documentation may include Registry records, confirmations or numbers, certificates, project and Credit details, Vintage, location, Beneficiary information, reporting period, purpose, country, and other supporting materials. Credit production information may be provided by Biochar Now, Registry records of applicable verification status and Retirement by the Insured Carbon Registry, and insurance information by AgriCap.

Registry and Retirement records may be public, persistent, or subject to Registry rules. Once a Credit is retired or irreversibly allocated, the applicable Registry records or documentation may be unable to be modified, removed, reversed, or deleted, even after a correction, cancellation, or deletion request.

Retirement Documentation evidences the applicable Retirement or Registry action. It has no independent market value and does not create ownership of an active or tradable Credit.

Retirement is intended to help prevent double counting by removing the retired Credit from active circulation. You are responsible for ensuring that claims align with the Retirement Documentation, Registry record, Beneficiary designation, and applicable law.

10. Finality, Cancellations, Refunds, and Failed Transactions

Orders, payments, and Retirement workflows may become final once accepted, settled, retired, or irreversibly allocated, as determined by the applicable Registry and relevant transaction partners.

Before Retirement or irreversible allocation, a cancellation or refund request may be considered subject to payment status, partner confirmation, inventory status, operational feasibility, and third-party costs. A request does not guarantee approval.

After Retirement or irreversible allocation, transactions are final and nonrefundable except where required by law or expressly agreed in writing.

If required payment is not received, is rejected, recalled, reversed, returned by a bank, or otherwise does not finally settle, the transaction may be suspended, Retirement may be delayed or cancelled, Account access may be restricted, and amounts may be recovered where permitted. GreenTigre may take payment-related actions solely in its capacity as Marketplace provider and does not take custody of buyer funds.

11. Environmental Claims and Buyer Responsibility

You are solely responsible for environmental, sustainability, climate, carbon-neutrality, net-zero, offsetting, mitigation-contribution, disclosure, marketing, accounting, tax, regulatory, procurement, or other claims based on Credits purchased or retired through the Services.

The Marketplace does not evaluate, approve, validate, certify, or guarantee your environmental or other claims or represent that they comply with law, advertising or accounting standards, reporting frameworks, procurement policies, disclosure requirements, or stakeholder expectations.

Any claim should be truthful, not misleading, appropriately qualified and substantiated, and consistent with the applicable Retirement Documentation, Registry record, project documentation, methodology, and current law or guidance governing environmental marketing and voluntary carbon market disclosures.

You are responsible for retaining documentation, determining how retired Credits may be used in reporting or claims, avoiding double counting, and consulting qualified legal, tax, accounting, sustainability, or other advisors.

12. No Investment, Tax, Legal, Accounting, or ESG Advice

The Services and Marketplace content are provided only for informational, marketplace, transaction, and Retirement-coordination purposes. The Marketplace, in its limited role as facilitator, does not provide investment, financial, tax, legal, accounting, ESG, sustainability-reporting, regulatory, or environmental-claims advice.

Nothing in the Services is a recommendation to buy, sell, hold, retire, report, or make claims regarding a Credit. You must independently assess each Order and consult your own advisors.

13. Third-Party Partners and Services

The Services rely on Biochar Now as the Producer, independent third-party auditors for project validation and verification, the Insured Carbon Registry as the Registry responsible for recording applicable verification status and performing Registry functions, and AgriCap as the supporter of the Insured Carbon program applicable to the insured, verified biochar carbon credits. Other third parties may provide banking, wire-transfer, settlement, hosting, analytics, support, and professional services.

Third-party services may be subject to their own terms, privacy policies, Registry rules, insurance documentation, payment or banking rules, procedures, and contractual obligations. Except as required by law, each third-party provider is responsible for the services and determinations within its respective role.

Third-party service providers or service arrangements may be added, replaced, updated, or removed from time to time, subject to applicable agreements and Marketplace requirements.

14. Acceptable Use

You may not misuse the Services or use them for an unlawful, deceptive, harmful, or unauthorized purpose. You may not: (a) provide false, misleading, or incomplete information; (b) misrepresent Credits, Registry records, insurance coverage, Retirement status, or environmental claims; (c) interfere with the Services or their security; (d) attempt to access another user's Account or data; (e) reverse engineer, scrape, crawl, or extract data except as permitted by the Marketplace; (f) violate sanctions, anti-money laundering, anti-bribery, export control, tax, environmental, consumer protection, advertising, voluntary carbon market disclosure, or other applicable laws; or (g) use the Services in a way that creates legal, operational, financial, compliance, security, or reputational risk for the Marketplace or its service providers and partners.

15. Intellectual Property

The Services, including software, text, designs, graphics, logos, interfaces, data compilations, workflows, documentation, and other content, are protected by applicable intellectual-property laws and are owned by their respective owners or licensors. Subject to these Terms, you receive a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for internal business or personal purposes permitted by the Services.

You may not copy, modify, distribute, sell, lease, sublicense, create derivative works from, or otherwise exploit the Services except as expressly permitted in writing by the applicable rights holder.

16. Feedback

If you provide comments, suggestions, ideas, or other feedback concerning the Services, such feedback may be used to improve the Services without restriction or compensation, subject to applicable law and any separate written agreement.

17. Privacy

The GreenTigre Privacy Policy describes the collection, use, disclosure, retention, and protection of personal information in connection with the Services. By using the Services, you acknowledge that policy and the processing described in it, subject to applicable law.

18. Service Availability and Changes

The Services, Marketplace features, supported Credits or payment methods, Quote workflows, documentation formats, partner integrations, or user access may be modified, suspended, discontinued, restricted, or updated at any time.

Uninterrupted, error-free, continuous availability or compatibility with every device, browser, system, or integration is not guaranteed. Maintenance, outages, partner or Registry downtime, settlement delays, security events, and events outside the reasonable control of the applicable service providers may affect availability.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, MARKETPLACE, CONTENT, QUOTES, CREDIT AND REGISTRY INFORMATION, RETIREMENT DOCUMENTATION, AND THIRD-PARTY INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WITHOUT LIMITING THE FOREGOING, THE MARKETPLACE AND ITS APPLICABLE SERVICE PROVIDERS DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, RELIABILITY, SECURITY, AND COURSE OF DEALING OR USAGE OF TRADE TO THE MAXIMUM EXTENT PERMITTED BY LAW.

THE MARKETPLACE DOES NOT WARRANT OR GUARANTEE PROJECT PERFORMANCE, CREDIT ISSUANCE OR VALIDITY, ENVIRONMENTAL IMPACT, REGISTRY TREATMENT, INSURANCE COVERAGE, PAYMENT OR SETTLEMENT TIMING, TAX TREATMENT, CLAIM ACCEPTANCE, OR ANY BUSINESS, ACCOUNTING, REGULATORY, SUSTAINABILITY, OR ENVIRONMENTAL OUTCOME.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MARKETPLACE AND ITS APPLICABLE SERVICE PROVIDERS AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS, REVENUE, DATA, OR GOODWILL; BUSINESS INTERRUPTION; COSTS OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM ENVIRONMENTAL CLAIMS, REGISTRY OR PARTNER ACTIONS, PROJECT PERFORMANCE, INSURANCE DETERMINATIONS, PAYMENT DELAYS, OR THIRD-PARTY FAILURES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not permit certain liability limitations. In those jurisdictions, liability is limited to the maximum extent permitted by law.

21. Indemnification

You agree to defend, indemnify, and hold harmless the Marketplace and its applicable service providers and partners from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your access to or use of the Services; (b) your Orders, payments, or transactions; (c) your environmental, sustainability, climate, accounting, tax, disclosure, marketing, or other claims; (d) your violation of these Terms or law; (e) information you provide; (f) your misuse or misrepresentation of Credits, Retirement Documentation, Registry records, or Retirement status; or (g) activity through your Account.

22. Suspension and Termination

Account access or use of the Services may be suspended, restricted, or terminated if you violate these Terms, create risk for the Marketplace or its service providers or partners, provide inaccurate information, fail to complete payment, initiate improper reversals or disputes, misuse the Services, violate law, or otherwise engage in harmful or inappropriate conduct.

Upon suspension or termination, your right to access and use the Services will cease immediately. Provisions that by their nature should survive will survive, including payment obligations, transaction and Retirement records, environmental claims, disclaimers, liability limitations, indemnification, governing law, and venue.

23. Force Majeure

The Marketplace and its applicable service providers are not liable for delay, failure, loss, or damage caused by events beyond their reasonable control, including acts of God, natural disasters, weather events, fire, flood, labor disputes, cyberattacks, power or internet outages, banking or payment-network failures, Registry outages, project delays or failures, partner failures, supply shortages, government action, regulatory changes, war, terrorism, civil unrest, sanctions, pandemics, or similar events.

24. Changes to These Terms

These Terms may be updated from time to time. Material changes will be posted through the Services with a revised "Last Updated" date.

To the extent permitted by law, continued use after updated Terms are posted constitutes acceptance. If you do not agree, you must stop using the Services. This does not replace any notice or consent required by applicable law.

25. Governing Law and Venue

Texas law governs these Terms without regard to conflict-of-law principles. Subject to non-waivable rights under applicable law, disputes arising out of or relating to these Terms, the Services, or an Order must be brought exclusively in state or federal courts in Travis County, Texas, and you consent to their jurisdiction and venue.

26. Miscellaneous

These Terms, the Privacy Policy, and additional terms presented through the Services or agreed in writing constitute the terms governing your use of the Services and applicable Orders.

If a provision is invalid or unenforceable, the remaining provisions remain effective, and the affected provision will be enforced to the maximum extent permitted by law.

You may not assign or transfer these Terms or your rights or obligations except as permitted in writing or by applicable law.

Failure to enforce a provision does not waive the right to enforce it later. Headings are for convenience and do not affect interpretation.
